Terms of Service

Effective November 5, 2026

These Terms of Service (the “Terms”) govern your access to and use of CordialChart, a clinical rotation tracking service for emergency medical services (EMS) education programs. Please read them carefully.

1. Who we are

CordialChart is operated by Cordial Emergency Medical Services LLC, a Texas limited liability company doing business as “CordialChart” (“CordialChart,” “we,” “us,” or “our”). CordialChart is a product of Cordial Fire/EMS Education. You can reach us at Support@CordialChart.com.

2. Acceptance of these Terms

By creating an account, accessing, or using CordialChart, you agree to these Terms. If you are using CordialChart on behalf of an education program, institution, or other organization (a “Program”), you represent that you are authorized to bind that Program to these Terms, and “you” includes that Program. If you do not agree, do not use the service.

3. The service

CordialChart lets EMS programs and their users record and track student clinical and field rotations, hours, skills, patient-care documentation, evaluations, and related program records across levels from EMR through Paramedic. Features, content, and availability may change over time.

4. License to use CordialChart

Subject to these Terms and payment of applicable fees, we grant each subscribing Program and its authorized users a limited, non-exclusive, non-transferable, revocable right to access and use CordialChart for the Program’s internal educational purposes during the subscription term.

5. Restrictions

You will not, and will not permit anyone to:

6. Accounts and roles

CordialChart uses role-based access (for example, coordinator, instructor, preceptor, and student). You are responsible for maintaining the confidentiality of account credentials, for all activity under your accounts, and for ensuring your users’ access is appropriate to their role. Notify us promptly of any unauthorized use.

7. Ownership

CordialChart, including all software, designs, text, graphics, logos, and other content we provide, is owned by us and protected by copyright, trademark, and other laws. “CordialChart” and the CordialChart logo are our trademarks. These Terms grant you no ownership in the service, and all rights not expressly granted are reserved.

8. Your data

As between you and us, the Program owns the records it enters into CordialChart (“Program Data”). You grant us the limited rights needed to host, process, secure, back up, and display Program Data to provide the service, and to use de-identified and aggregated data to operate and improve the service. Our handling of personal information is described in our Privacy Policy.

CordialChart is designed for de-identified patient-care documentation and is not intended to store protected health information (PHI) or any patient-identifying details. You agree not to enter patient names, dates of birth, addresses, insurance information, or other patient identifiers into the service.

9. Record integrity

Because CordialChart records are used for accreditation, evaluation, and attribution, certain entries (including messages and signed records) are retained and cannot be deleted by users once created. This preserves an accurate, attributable record. See the Privacy Policy for how long we keep information.

10. Fees and payment

Fees are stated at the time of purchase. Seats are sold per student as described in our then-current pricing, and volume discounts may apply. Programs that qualify may instead be invoiced on net terms under a separate signed invoicing agreement, which governs due dates, late interest, suspension for non-payment, and costs of collection. Payments are processed by our payment processor; we do not store full card numbers.

11. Suspension and termination

We may suspend or terminate access that violates these Terms or that is past due under an applicable invoicing agreement. On suspension for non-payment, Program Data is preserved and access is restored upon payment. On termination, the Program may export its data for a reasonable period as described at the time, after which we may delete it in the ordinary course.

12. Disclaimers

CordialChart is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. CordialChart is a documentation and tracking tool; it is not a medical device, a clinical system of record, or a substitute for a Program’s own compliance, accreditation, and recordkeeping obligations. You are responsible for verifying that your use meets your accrediting body’s requirements.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amount you paid us for the service in the twelve months before the event giving rise to the claim.

14. Indemnification

You will defend, indemnify, and hold harmless CordialChart and its affiliates from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Program Data, your use of the service, or your breach of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the service or by email. Your continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Bexar County, Texas.
